01—What is Primary Market?
The definition — and what it means in practice.
The primary market is where new securities are issued for the first time, such as through an initial public offering (IPO) or a subsequent share offering by an already listed company. In primary-market transactions, the issuer creates and sells new shares (or other securities), and the money raised goes directly to the issuing company. This is different from trading existing shares between investors.
It matters because primary-market deals can change a company’s share count, ownership mix, and future earnings per share. For investors, participating in an IPO or a follow-on offering is a different process from normal buying in the market, with different timelines and disclosures. Even if you do not subscribe, a new issuance can affect valuation, liquidity, and market sentiment once trading begins.
If a company issues 1,000 new shares at Rs 100 each, Rs 100,000 goes to the company; later trading those shares is no longer primary market.

02—How primary market works on the PSX
The Pakistan-specific rules, conventions, and numbers.
For a Pakistan Stock Exchange (PSX) investor, the primary market is most visible when a company comes to market through an IPO, or when a listed company raises additional equity through a new offering. After issuance, those shares become part of normal PSX trading and are held electronically at the Central Depository Company (CDC).
Participation typically happens through a broker that holds a Trading Right Entitlement Certificate (TREC) licence, using your Unique Investor Number (UIN). Primary-market participation is operationally distinct from buying in the cash market: the subscription and allocation happen first, and only then does trading start on the exchange. Once listed and trading, settlement in the PSX cash market is T+1 (one business day).

Where investors most often get this wrong.
Buying on the PSX is always the primary market.
Most PSX buying and selling is secondary-market trading between investors. The primary market is only when the company issues new securities and receives the proceeds.
In the primary market, the broker or exchange receives the money.
In a primary issuance, the money raised is for the issuing company. Brokers and the exchange facilitate the process but are not the beneficiary of the capital raised.
A new share issuance does not affect existing shareholders.
Issuing new shares increases the total share count and can dilute existing ownership and per-share measures, depending on how the funds are used and pricing.
